By submitting your information, participating in any interview or evaluation process, uploading a resume, or engaging with Sam or any of its representatives, partners, or third-party tools through any channel, you acknowledge that you have read, understood, and agree to these Terms and Conditions in their entirety. Your continued participation constitutes your explicit and informed consent to all terms set forth herein, including the collection, storage, processing, and commercial use of your data as described below.

1. About Sam and This Agreement
Sam is an AI-powered talent matching and recruiting platform operated by Sam Mgmt, Inc., a registered corporation, and its affiliated entities, subsidiaries, and any trade names or DBAs (doing business as designations) operating under or linked to the same legal entity, regardless of the state or jurisdiction in which they are registered. Sam Mgmt, Inc. and all affiliated DBAs are collectively referred to throughout this document as "Sam," "we," "us," or "our." This agreement governs your relationship with Sam in any capacity. By engaging with Sam in any way, you enter into a binding agreement with Sam Mgmt, Inc.

2. Scope of Consent
Consent to these Terms and Conditions is granted by engaging with Sam through any of the following channels. Consent is not limited to the specific channel through which you first engaged and applies to all data collected at the time of engagement and throughout the duration of your relationship with Sam.
- Participating in any interview, screening, or evaluation process facilitated by or on behalf of Sam, including but not limited to AI-powered interviews, human-led interviews, recorded sessions, transcribed conversations, notetaker-assisted calls, or any other format through which information is captured
- Submitting your resume, CV, or professional profile through any intake form
- Engaging with Sam through a job board posting including but not limited to LinkedIn, Indeed, ZipRecruiter, or any other platform
- Being referred to Sam by a recruiter, employer, colleague, partner, or any third party
- Responding to outreach from Sam, an affiliated recruiter, or any partner organization
- Providing information through any partner platform, embedded form, or third-party integration connected to Sam
- Any other method of engagement not listed above.
The absence of a specific channel from this list does not limit the scope of this agreement or the consent granted.
Consent covers all data submitted at initial engagement and any data subsequently collected, generated, or derived throughout the process.

3. Information We Collect
- Personal and contact information
- Full name, email address, and phone number
- City, state, and country of residence
- LinkedIn profile URL and other professional profile links
- Work authorization status and location preferences
- Professional and career information
- Resume and CV documents including uploaded files and all extracted text content
- Employment history, job titles, company names, and dates of employment
- Skills, certifications, and professional achievements
- Work preferences including remote, hybrid, in-person, part-time, and full-time availability
- Interview and evaluation data
- Full transcripts of any interview or evaluation session regardless of format or tool used to capture it
- Audio or video recordings of interviews where applicable
- Notes generated by human interviewers, notetaking tools, or third-party transcription services during or after a session
- Written and verbal responses to all screening or interview questions
- AI-generated summaries, assessments, and insights derived from any interview or evaluation content
- Behavioral signals, communication style assessments, and soft skill indicators generated through AI or human review
- Platform-generated and derived data
- AI-generated match scores and labels assigned to your profile for specific client searches
- Internal candidate profiles generated by combining submitted resume data, interview insights, and platform assessments
- Match reports and candidate presentations prepared for client review
- Notes, flags, annotations, or evaluations added by Sam staff or affiliated recruiters
- Metadata, usage patterns, and behavioral data generated during your engagement with the platform
- Third-party captured data
- Any data captured through third-party tools used in connection with Sam's operations, including but not limited to notetaking platforms, transcription services, applicant tracking systems, video interview tools, form and survey tools, calendar and scheduling tools, and communication platforms
Data received from job boards, referral partners, or other external sources that connect candidates to Sam

4. How We Use Your Information
- To evaluate suitability for open roles and match candidates with client organizations
- To generate AI-powered match scores, match reports, and internal candidate profiles
- To present profiles, resumes, and assessments to prospective employers and client organizations
- To facilitate introductions, interviews, and hiring processes
- To train, develop, improve, and validate Sam's AI models, matching algorithms, and assessment systems
- To conduct internal research, analytics, and platform performance analysis
- To license, transfer, or otherwise make available data to third-party partners for workforce analytics, labor market research, AI model development, and related commercial purposes
- To create aggregated, anonymized, or de-identified datasets for research, product development, and commercial purposes
- To communicate regarding opportunities, platform activity, and status updates
- To comply with applicable legal obligations

5. Data Rights and Commercial Use
By agreeing to these Terms and Conditions, you grant Sam Mgmt, Inc. a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, store, process, reproduce, modify, distribute, and otherwise make lawful use of your data, including personal information, resume content, interview transcripts, AI-generated assessments, third-party captured data, and all derived data, for the following purposes.

AI Training and Model Development
Your data, including interview responses, resume text, transcripts, and behavioral assessments, may be used to train, fine-tune, validate, and improve artificial intelligence and machine learning models operated by Sam or made available to third-party partners
Data used for AI training purposes may be retained in anonymized, pseudonymized, or aggregated form beyond the active period of your engagement with Sam

Research and Analytics
Sam may use your data to conduct workforce research, labor market analysis, and talent intelligence reporting
Aggregated or de-identified insights derived from your data may be incorporated into research reports, white papers, or commercial analytics products

Data Licensing and Partner Use
Sam may license, transfer, or otherwise make available your data in identifiable, pseudonymized, or anonymized form to third-party partners including employers, workforce analytics platforms, research organizations, AI developers, and other commercial entities
Where data is shared in identifiable form, such sharing will be for purposes directly related to recruiting, talent matching, or employment facilitation
Where data is shared in anonymized or aggregated form, such sharing may occur for any lawful commercial, research, or developmental purpose

Platform improvement and internal use
Sam may use your data to develop new features, improve existing functionality, and enhance the performance of the Sam platform
Internal teams and affiliated entities may access your data for quality assurance, recruiter training, and platform auditing purposes
You retain ownership of your personal data. The license granted in this section does not transfer ownership of your data to Sam. It grants Sam the rights necessary to operate the platform and pursue the commercial and developmental purposes described above.

6. AI Processing and Automated Decision-Making
Your resume, interview responses, and professional information will be processed by AI systems to generate summaries, assessments, match scores, and candidate profiles
AI-generated insights including behavioral signals, soft skill assessments, communication style indicators, and project highlights will be stored on your profile and shared with client organizations as part of your candidate presentation.
Match scores are generated algorithmically and represent one input in the hiring process. They do not constitute a final hiring decision.
Sam's AI systems may combine data from multiple sources including submitted resume content, interview responses, notetaker transcripts, and any other information provided to produce a unified internal candidate profile.
Your data may be used to improve the accuracy and performance of Sam's automated systems over time.

7. Third-Party Tools and Services
Sam uses third-party tools and services in connection with the operation of its platform and the delivery of its recruiting services. By engaging with Sam you acknowledge and consent to the collection, processing, and storage of your data by these tools on Sam's behalf. Third-party tools may include but are not limited to the following categories.
- Database and cloud infrastructure providers used to store candidate and platform data
- AI and machine learning platforms used to process, analyze, and generate insights from candidate data
- Interview and evaluation platforms including AI-powered interview tools, video interview platforms, and form or survey tools used to capture candidate responses
- Notetaking and transcription services used to capture and transcribe human-led interviews, calls, or meetings involving candidate information
- Applicant tracking systems and CRM platforms used to manage candidate records and recruiter workflows
- Communication and scheduling tools used to coordinate with candidates and clients
- Job boards and sourcing platforms through which candidate data may be received or transmitted
- Analytics and reporting tools used to measure platform performance and candidate outcomes
Sam takes reasonable steps to ensure that third-party tools used in its operations maintain appropriate data protection standards. However, Sam is not responsible for the independent privacy practices of third-party platforms and encourages you to review their terms separately.

8. Data Storage and Retention
Your information including personal data, resume text, interview transcripts, AI-generated summaries, third-party captured data, and match reports will be stored in Sam's secure database for as long as your profile remains active and potentially beyond
- Cached and generated data including your internal profile and match reports may be stored indefinitely to ensure consistency across all client presentations and platform surfaces
- Data retained for AI training, research, or analytics purposes may be kept in anonymized or aggregated form for an indefinite period regardless of the status of your profile
You may request deletion of your personally identifiable information at any time by contacting Sam directly. Upon verified request, Sam will remove your PII from active systems within a reasonable timeframe, subject to legal retention obligations and excluding data that has already been anonymized or incorporated into aggregate datasets

9. Data Sharing and Disclosure
- With client organizations actively searching for candidates, including match score, match report, internal profile, and interview insights, for the purpose of evaluating candidacy
- With third-party partners for AI model training, workforce analytics, labor market research, and related commercial and developmental purposes as described in Section 5
- With third-party tools and service providers used in Sam's operations as described in Section 7
- With successor entities in connection with a merger, acquisition, restructuring, or sale of all or part of Sam Mgmt, Inc.'s business or assets
- With affiliated DBAs and entities operating under the same legal entity as Sam Mgmt, Inc.
- When required by law, regulation, legal process, court order, or government request

10. Your Rights
Subject to applicable law and the terms of the license granted in Section 5, you have the following rights regarding your data.
- Access: You may request a copy of the personal information Sam holds about you in active systems
- Correction: You may request correction of inaccurate or incomplete information in your profile
- Deletion: You may request deletion of your personally identifiable information from active systems. Anonymized, aggregated, or AI-training data derived from your profile may be retained after deletion of your PII
- Withdrawal of consent: You may withdraw consent to future processing at any time. Withdrawal does not affect the lawfulness of processing, licensing, or use that occurred prior to withdrawal, and does not require Sam to reverse any actions already taken under the granted license
- Portability: Where applicable, you may request your data in a portable format

11. Data Security
Sam takes reasonable technical and organizational measures to protect your personal information against unauthorized access, loss, misuse, or alteration. These measures include secure database infrastructure, access controls, and encryption where appropriate. However, no method of transmission or storage is completely secure, and Sam cannot guarantee absolute security of your data.

12. Third-Party Platforms and Referrals
These Terms and Conditions apply regardless of how you engaged with Sam. If you were referred through a job board, a recruiter, a partner organization, or any other third party, your engagement with Sam constitutes full acceptance of these terms. The scope of consent and data rights granted herein are not limited by the channel through which you were introduced to Sam. Sam is not responsible for the independent privacy practices of third-party platforms through which you may have been referred.

13. Limitation of Liability
To the fullest extent permitted by applicable law, Sam Mgmt, Inc., its affiliates, DBAs, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation on the platform, the use of your data as described herein, or any hiring outcome or lack thereof. Sam's total liability to you for any claim arising under these terms shall not exceed the greater of $100 or any fees paid by you to Sam in the twelve months preceding the claim.

14. Changes to These Terms
Sam reserves the right to update or modify these Terms and Conditions at any time at its sole discretion. The effective date at the top of this document will reflect the most recent revision. Continued participation on the platform following any update constitutes acceptance of the revised terms. Sam will make reasonable efforts to notify active users of material changes but is not obligated to obtain renewed consent for changes that do not materially alter the rights granted herein.

15. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the State of Delaware, without regard to conflict of law provisions without regard to conflict of law provisions. Any disputes arising under or related to these terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules. You waive any right to participate in a class action lawsuit or class-wide arbitration against Sam Mgmt, Inc.

16. Entire Agreement and Severability
These Terms and Conditions constitute the entire agreement between you and Sam Mgmt, Inc. with respect to the subject matter herein and supersede all prior agreements, representations, or understandings. If any provision of these terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
